Standard Terms and Conditions for Absoft Distributors

Absoft Distributor Characteristics

Experienced in actively pursuing a customer base and market that has a regular requirement for software development tools

Committed to long term promotion and selling of Absoft products

Has an established business at least 2 years old

Is financially solvent with credit references

Will actively promote Absoft products via web, trade shows, direct mail, and other marketing channels in a manner similar to its other top tier software products

Is capable of providing the first level of technical support for Absoft software products

Standard Resources & Policies Provided by Absoft

Software availability:

All software is in stock for immediate shipment - Most products are available in both Electronic & Boxed Software versions

Current versions available as physical deliverable that includes media and printed User Guide

Current versions available as electronic deliverable that includes all documentation in PDF format

An inventory of previous releases is maintained and available for customers who request them for legacy compatibility reasons

Ordering:

Absoft accepts standard Purchase Orders from companies within the USA via email, fax and phone. All orders originating outside of the USA require pre-payment via Visa, MasterCard, AMEX, Certified Check or Wire Transfer.

If using the Wire Transfer method, the Absoft Distributor is responsible for all bank fees associated with the transfer by your bank and those fees must be included in the total amount transferred so that Absoft ends up with the correct amount deposited in our account. Failure to do so will result in a past-due balance on your account and suspension of your ordering privileges.

Orders must include

  • Software Quantity & Licence Type (SUSS, FNL etc)
  • Item Part Number
  • Platform (Windows, MacOS/Intel, MacOS/PPC, Linux x86 (32-bit), Linux x86_64 (64-bit), Linux/PPC 32-bit or Linux/PPC 64-bit)
  • Because most products are available in both Electronic & Boxed Software versions, you will also need to specify your delivery preference. ESD deliverys must include the email address you would like the download sent to, Boxed Software Physical shipments must include the ship to address
  • Payment method information (purchase order number, credit card account # with card holder name & expiration date or Wire Transfer request) in all orders & correspondence

These simple measures insure accurate and prompt delivery of the proper items.

Terms

Absoft accepts Purchase Orders from businesses within the USA only via email, fax and phone. Also accepted is pre-payment via Visa, MasterCard, AMEX & Checks from American Banks (Net 30 terms may be rejected based on business size and/or credit history at the descrection of Absoft Corporation).

All orders originating outside of the USA require pre-payment via Visa, MasterCard, AMEX, Certified Check or Wire Transfer.

**If using the Wire Transfer method, the Absoft Distributor is responsible for all bank fees associated with the transfer by your bank and those fees must be included in the total amount transferred so that Absoft ends up with the correct amount deposited in our account. VAT, Customs Duties and related taxes are the responsibility of the Distributor and will not be paid by Absoft Corporation.

Inventory Adjustments

Absoft offers exchange/adjustment of new, unopened Absoft branded software as required for stock rebalancing or when a new Absoft release becomes available. This adjustment will be provided at no charge to the Distributor, however the Distributor is responsible for any freight charges associated with the adjustment.

Adjustments are also offered for software not manufactured by Absoft under similar terms, but for third party products these adjustments are subject to third party vendor terms and conditions. Distributor is responsible for any difference in Distributor cost for new items.

Stock adjustments are subject to the following conditions:

  • Absoft manufactured products which are unopened (electronic delivery items do NOT qualify);
  • Stock which is no more than one release level back;
  • Stock adjustments for new releases must be made within 90 days of new product release;
  • Stock adjustments can only be made on products currently promoted by Absoft (i.e. no discontinued items);
  • Products may be mix/matched for adjustment, i.e. Windows versions exchanged for Mac, etc;
  • Stock adjustments are available only for credit against new units.
Free Maintenance Period for Absoft Products

60-Day Grandfather Clause: Registered customers who purchase Absoft-manufactured products within 60 days prior to a new release qualify to receive an upgrade to the new release at no additional charge. Distributors should ask customers to contact Absoft directly for the exchange. Upgrades are sent by Absoft in electronic format only - directly to the end user. This policy is in effect on all Absoft manufactured products.

Current Release: Absoft provides continuing maintenance which includes support, bug fixes and service packs at no additional charge to registered end users of the current release for as long as the release is current.

12-Months No-Charge Maintenance: Some products sold by Absoft include an initial 12-month, no-charge maintenance period during which the customer may receive support, bug fixes, service packs and new releases issued during the 12 month period at no additional charge. This policy is available on many Absoft products and several third party products resold by Absoft. See the appropriate product price sheet for availability.

Technical Support

Absoft provides Level 1 and Level 2 Technical Support for all products it distributes at no additional charge
subject to the conditions above.

Distributor Category

Absoft Offers 3 Different Distributor Categories:

Category 'B' Active and aggressive Distributors of Absoft software development tools. Discounts are available on all standard products and upgrades. Discount range in value up to 40% based on the individual products. Typical monthly minimum purchase volume is $3500 to qualify.

Category 'C' Lower volume Distributors of Absoft products and/or Distributors specializing in other market segments. Typically a Distributor of business tools who has a requirement for software development tools on an irregular or limited basis. Discounts are available on new, commercial software with a discount range up to 15%. Typical monthly minimum purchase volume is $1500.

Category 'D' Infrequent Distributor of Absoft products. Typically this type of Distributor is a software vendor who requires Absoft products occasionally. Discounts are available on most items with a discount range up to 10%. Typical monthly minimum purchase volume is open-ended, but purchases must be regular.

Distributor classifications are reviewed annually by Absoft and subject to change based on Distributor's purchasing and marketing activity during the prior 12 months.

Price Changes

All outstanding quotations in effect at the time new pricing policies are announced will be honored for a period of 60 days on Absoft products. Third party products distributed by Absoft are subject to new pricing terms of the respective third party vendor. To qualify for price protection, the Distributor is responsible for providing Absoft with a list of any outstanding quotes which include customer name, item, quantity and date of quote.

Shipping

Products are shipped via UPS Ground within the USA and FedEx to all other destinations, unless otherwise specified.

Upon request, Absoft will use Distributor's UPS Ground or FedEx NextDay, 2Day & 3Day accounts - Absoft does not use FedEx Ground.

Literature & Marketing Resources

Monthly Newsletter: Designed for Absoft Distributors, it includes descriptions of new products, future product directions, pricing, policies, etc. and price information will be emailed to all registered Distributors. If you have an email address specifically for this purpose, please make sure you advise Absoft of that fact.

Website Product Listing Assistance: Standard product descriptions, graphics, logos and other information which is designed to provide Absoft Distributors with 'instant' Absoft product listings and information consistent with Absoft product pages is available to all Distributors.

Distributor Hotline: If you are in doubt about any item, you can quickly obtain answers to specific questions regarding products, pricing, compatibility and more. Questions will be quickly answered by sending an email to sales@absoft.com or by calling Sales at 248-853-0050
